Platform Service Agreement
Effective Date: October 2026 | Molecule Technologies Inc.
This Terms of Service agreement is a binding legal contract between Molecule Technologies Inc. and your organization. By registering for an account, accessing developer APIs, scheduling a demo, or recharging communication credits, you acknowledge and agree to comply with all covenants set forth herein, applicable TRAI regulations, and Indian telecommunication statutes.
1. Account Registration, Business KYC & Verification
Access to Molecule communication infrastructure requires verified corporate authentication:
Commercial Eligibility: You must represent a legitimate commercial business entity, registered company, or sole proprietorship under Indian laws.
DLT Registration Requirement: In compliance with TRAI regulations, customers must submit valid KYC documents (GST Certificate, PAN, Certificate of Incorporation) and complete DLT Principal Entity (PE) registration before dispatching SMS or automated voice calls.
Credential Security: You are solely responsible for safeguarding your administrative login credentials, developer API tokens, and webhook signatures. Any actions executed using your API tokens are deemed authorized by your organization.
2. Pay-As-You-Go Billing, Credits & Taxes
Molecule Technologies operates on a transparent, prepaid unified wallet architecture:
Metered Tariff Consumption: Call minutes are billed per pulse/second as per active tariff schedule; WhatsApp messaging is billed per conversation session according to Meta pricing bands; Bulk SMS is deducted per verified 160-character segment.
Zero Hidden Commitments: There are no mandatory monthly minimums, setup surcharges, or forced long-term lock-ins unless custom enterprise SLAs are executed.
Applicable Taxes: Invoices are subject to statutory Indian Goods and Services Tax (GST at 18%). GST-compliant tax invoices are automatically generated and downloadable from your portal.
Credit Non-Transferability: Account balances are non-transferable between unrelated commercial entities.
3. Acceptable Use Policy (AUP) & Anti-Spam Mandate
Our infrastructure maintains zero tolerance for abusive or illegal communications:
Prohibited Transmissions: You agree never to transmit spam, unsolicited commercial bulk broadcasts, deceptive financial schemes, phishing links, hate speech, or content infringing third-party intellectual property.
TRAI DND Scrubbing: Outbound promotional campaigns must strictly adhere to the National Customer Preference Register (NCPR). Calling and promotional messaging are legally limited to 9:00 AM - 9:00 PM IST.
Immediate Account Suspension: Any account detected transmitting fraudulent or unauthorized traffic will face instant suspension, forfeiture of wallet balance, and escalation to Indian telecommunication law enforcement authorities.
4. Service Level Agreement (SLA) & Uptime Guarantee
We deliver mission-critical connectivity backed by contractual reliability standards:
99.9% Availability SLA: Targeted 99.9% monthly availability across core cloud IVR infrastructure, automated voice broadcasting nodes, and REST API endpoints.
Multi-Carrier Redundancy: Intelligent failover routing across Tier-1 Indian telecom operators guarantees message dispatch even during single-carrier outages.
5. Intellectual Property & Customer Data Ownership
Rights and ownership boundaries between Molecule and your organization:
Molecule Platform Ownership: Molecule Technologies Inc. retains all exclusive rights, title, and intellectual property in our proprietary code, APIs, algorithms, visual interfaces, documentation, and trademarks.
Customer Data Ownership: You retain 100% complete ownership of your customer lists, CRM contact data, customized IVR audio prompts, and business conversations. We claim zero ownership over your intellectual property.
6. Telecom Network Dependencies & Limitation of Liability
Third-Party Carrier Dependencies: Call delivery and SMS receipt times depend partly upon subscriber mobile network coverage, handset status, and operator-level traffic routing. Molecule is not liable for subscriber handset power-off delays or localized carrier outages.
Liability Ceiling: To the maximum extent permitted under Indian law, Molecule Technologies' total aggregate liability arising out of any claim shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to liability.

Procedures for account suspension, voluntary exit, and refund evaluation:
Voluntary Account Closure: You may discontinue services and request account closure at any time by notifying support@moleculetechnologies.in.
Termination for Cause: Molecule may terminate or freeze accounts immediately if fraudulent traffic, DLT breach, or payment chargebacks occur.
Refund Guidelines: Unused prepaid wallet balances may be refunded upon formal account closure, subject to verification of identity, deduction of bank processing charges, and settlement of outstanding carrier reconciliation fees.
These terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India. In the event of any commercial dispute or controversy arising out of this agreement:
Exclusive Jurisdiction: The courts of competent jurisdiction located in Ahmedabad, Gujarat, India shall have exclusive jurisdiction over all legal proceedings.
